The Service provides a cloud-based platform for managing organisation compliance requirements and supporting services.

We may update, modify or improve the Service from time to time.

We do not guarantee that the Service will meet all regulatory or business requirements of the Customer.

5. Account Registration

You must:

  • Provide accurate and complete information
  • Keep login credentials secure
  • Notify us immediately of unauthorised access

You are responsible for all activity under your account.

6. Subscription & Fees

  • Subscriptions are billed in advance on a monthly or annual basis
  • Fees are exclusive of VAT unless stated otherwise
  • Failure to pay may result in suspension or termination
  • We may change pricing with at least 30 days' notice

7. Free Trials

Free trials (if offered) are provided "as is" and may be withdrawn at any time.

No liability is accepted for loss of data during trial periods.

8. Customer Content

You retain ownership of all Content you upload.

You grant us a licence to:

  • Host
  • Process
  • Transmit
  • Backup

your Content solely for providing the Service.

You warrant that:

  • You have the right to upload the Content
  • The Content does not infringe third-party rights

9. Acceptable Use

You must not:

  • Use the Service unlawfully
  • Upload malicious code
  • Attempt unauthorised access
  • Reverse engineer the Service
  • Resell or sublicense without permission

We may suspend access for breach of this clause.

10. Intellectual Property

All intellectual property rights in the Platform belong to us.

No rights are granted except the right to use the Service in accordance with these Terms.

11. Availability & Support

We aim for high availability but do not guarantee uninterrupted access.

Maintenance and updates may cause downtime.

12. Data Protection

Each party shall comply with UK GDPR and the Data Protection Act 2018.

You are the Data Controller.

We are the Data Processor.

Details of processing are set out in our Privacy Policy and Data Processing Agreement.

13. Security

However, we do not guarantee absolute security.

14. Third-Party Services

The Service may integrate with third-party services.

We are not responsible for third-party systems, outages or data handling.

15. Termination

We may suspend or terminate your account:

  • For breach of these Terms
  • For non-payment
  • If required by law

You may terminate by cancelling your subscription.

Upon termination:

  • Access will cease
  • Data may be deleted after [30] days

16. Limitation of Liability

Nothing limits liability for:

  • Death or personal injury
  • Fraud
  • Anything unlawful to exclude

Otherwise, we shall not be liable for:

  • Loss of profits
  • Loss of business
  • Loss of data
  • Indirect or consequential loss

Our total liability shall not exceed the fees paid in the previous 12 months.

You agree to indemnify us against claims arising from:

  • Your misuse of the Service
  • Your Content
  • Your breach of these Terms

18. Force Majeure

We are not liable for failure caused by events beyond reasonable control (e.g. internet outages, natural disasters).

19. Changes to Terms

We may update these Terms by providing notice via the Platform or email.

Continued use constitutes acceptance.

20. Governing Law

These Terms are governed by the laws of England and Wales.

Disputes shall be subject to the exclusive jurisdiction of English courts.
